Reseller Pricing Policy

Protecting the Value of the Histolab USA Brand

Histolab USA is committed to maintaining the value, quality, and integrity of the Histolab brand across all authorized sales channels. To support a consistent pricing structure among our authorized resellers, Histolab USA has established pricing requirements for designated products.

Standard Pricing Requirements

Outside of approved promotional or sale periods, authorized resellers are expected to advertise and sell Histolab USA products at or above the MSRP/Retail Price established by Histolab USA.

Resellers may set prices higher than the listed MSRP/Retail Price at their discretion, but products should not be advertised or sold below the established MSRP/Retail Price outside of an approved promotional period.

Approved Promotional Pricing

During an approved promotional or sale period, authorized resellers may be permitted to offer products at the Minimum Reseller Price listed on the current Histolab USA Reseller Price List.

Prior written approval from Histolab USA is required before offering a product at its Minimum Reseller Price.

​

The Minimum Reseller Price represents the lowest approved price at which a designated Histolab USA product may be advertised or sold during an authorized promotional period. Resellers may sell at the Minimum Reseller Price or any higher price during the approved promotional period.

Advertising & Promotions

These pricing requirements apply to publicly advertised and promotional pricing across all sales channels, including but not limited to:

• Reseller websites and online stores

• Online marketplaces

• Social media and social commerce platforms

• Digital and print advertisements

• Promotional emails and newsletters

• Coupons and discount codes

• Sale and promotional pricing

• Bundles or other promotional offers

Any promotion, discount, coupon, rebate, or other pricing incentive that would result in a product being advertised or sold below the applicable Minimum Reseller Price is not permitted.

Pricing Updates

MSRP/Retail Prices and Minimum Reseller Prices may be established or updated by Histolab USA from time to time. Authorized resellers are responsible for maintaining current pricing and ensuring that their advertised and selling prices comply with the most recent pricing information provided by Histolab USA.

Histolab USA may designate specific promotional periods during which approved resellers may offer products at the Minimum Reseller Price.

Authorized Reseller Compliance

Compliance with Histolab USA’s reseller pricing requirements is expected of all authorized resellers. Histolab USA reserves the right to review reseller pricing and take appropriate action regarding violations of this policy.

Failure to comply with this policy may result in the immediate suspension or termination of reseller privileges, including product supply. Histolab USA reserves the right to pursue legal action and any other remedies available under applicable law.
